Terms of Service

1. Scope and Agreement

These Terms of Service govern the relationship between the user and QLIQ Marketing L.L.C., Dubai, UAE (Provider) regarding the use of the service WhatGhost.ai. By registering for or using the Service, the user accepts these Terms in full. The agreement is formed upon completion of registration.

2. Description of Service

WhatGhost.ai is a Software-as-a-Service for automatic transcription of WhatsApp voice messages. The Service connects via the WhatsApp Web interface to the user’s account, receives voice messages, transcribes them using AI, and sends the transcription back as a text message. The Provider does not guarantee any specific transcription accuracy or result.

3. Registration and Account Security

Use of the Service requires registration with a valid email address. The user warrants that all information provided during registration is truthful. Only one account per natural person is permitted. The user is solely responsible for maintaining the security of their login credentials and is liable for all activity conducted through their account. Disposable email addresses are not permitted.

4. Credits, Pricing, and Payment

The Service operates on a prepaid credit system. Users purchase minute packages that are consumed during transcription. Prices include all applicable taxes unless stated otherwise. Payments are processed through Stripe. Credits that have been purchased and used are non-refundable. Unused credits expire 12 months after purchase, to the extent permitted by applicable law.

5. Data Privacy

Transcription contents are not stored on the Provider’s servers. Processing occurs exclusively in real-time. Only metadata (duration, timestamp, chat name) is stored for credit management purposes. Further details can be found in the Privacy Policy.

6. Usage Restrictions and Fair Use

  • Maximum length per voice message: 10 minutes
  • Maximum 20 transcriptions per 5 minutes
  • Free accounts: max. 60 transcriptions per day, 1 device
  • Paid accounts: maximum 3 devices
  • The Service must not be used for spam, fraud, mass distribution, illegal content, or infringement of third-party rights
  • The user must not access the Service through automated means (bots, scraping) or place excessive load on the Provider’s infrastructure

The Provider reserves the right to restrict or suspend accounts that violate these provisions without prior notice.

7. Intellectual Property

All rights to the software, design, trademarks, and content of the Service belong to the Provider. The user receives a limited, non-transferable, revocable license to use the Service for the duration of the agreement. Transcriptions of the user’s voice messages remain the property of the user.

8. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an “as is” and “as available” basis without warranties of any kind. The Provider makes no guarantee regarding the availability, accuracy, completeness, or fitness of the Service for any particular purpose. The Provider shall not be liable for indirect damages, lost profits, data loss, or consequential damages of any kind. The Provider’s total aggregate liability shall in no event exceed the amount paid by the user in the 3 months preceding the event giving rise to the claim. This limitation applies to the fullest extent permitted by applicable law.

9. Indemnification

The user agrees to indemnify, defend, and hold harmless the Provider, its officers, employees, and partners from and against all claims, costs, damages, losses, and expenses (including reasonable legal fees) arising from the user’s use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Third-Party Services

The Service utilizes the WhatsApp Web interface. WhatGhost.ai is not an official product of Meta, WhatsApp Inc., or any affiliated entities, and is not endorsed, approved, or recommended by them. The user is solely responsible for complying with WhatsApp’s terms of service. The Provider is not liable for any changes or restrictions by WhatsApp/Meta that affect the functionality of the Service.

11. Force Majeure

The Provider shall not be liable for any delay or failure in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet outages, governmental actions, or changes by third-party platforms.

12. Termination

The user may delete their account at any time. The Provider may suspend or delete accounts that violate these Terms, engage in abusive usage, or for any other important reason, at any time and without prior notice. Upon termination, unused credits are forfeited unless otherwise required by applicable law.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. The courts of Dubai, UAE, shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms. Before initiating legal proceedings, the parties agree to attempt amicable resolution.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the invalid provision.

15. Changes to These Terms

The Provider reserves the right to modify these Terms at any time. Changes will be communicated via email or notice within the Service. Continued use after notification constitutes acceptance. In the event of material changes, the user has the right to terminate the agreement within 30 days.
